Terms of Service

1. Agreement to Terms

By accessing or using dtf.market ("Platform", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including browsers, customers, vendors (sellers), and administrators.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use after changes constitutes acceptance of the revised Terms.

2. Platform Description

dtf.market is an online marketplace where independent designers ("Vendors") upload and sell DTF (Direct-to-Film) transfer designs. We facilitate the transaction between Vendors and Customers. We handle printing, quality assurance, and shipping through our fulfillment partners.

dtf.market acts as a marketplace platform and is not the creator, manufacturer, or original seller of the designs listed by Vendors. We are a service provider that connects buyers and sellers.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use this Platform.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@dtf.market if you suspect unauthorized access.

3.3 Account Termination

We may suspend or terminate accounts that violate these Terms, our Intellectual Property Policy, or applicable law — with or without notice.

4. Vendor (Seller) Terms

4.1 Vendor Responsibilities

By creating a vendor account and uploading designs, you represent and warrant that:

  • You are the original creator of all designs you upload, OR you have obtained all necessary rights, licenses, and permissions to sell and reproduce those designs commercially.
  • Your designs do not infringe upon the copyrights, trademarks, trade dress, patents, publicity rights, or other intellectual property rights of any third party.
  • Your designs do not contain unauthorized use of any brand names, logos, licensed characters, celebrity likenesses, sports team marks, or other protected content.
  • You have the legal right to grant us a license to reproduce, display, and distribute the designs for the purpose of fulfilling orders.
  • Your designs comply with all applicable federal, state, and local laws.
  • Your designs do not contain obscene, defamatory, threatening, or otherwise unlawful content.

4.2 License Grant

By uploading designs to dtf.market, you grant us a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, and create derivative works (such as mockup images and thumbnails) of your designs solely for the purposes of operating the Platform, marketing your listings, and fulfilling customer orders.

You retain full ownership of your original designs. This license terminates when you permanently remove your designs from the Platform, except as needed to fulfill existing orders.

4.3 Prohibited Content

Vendors may not upload designs that:

  • Infringe on any third party's intellectual property rights (see our IP Policy)
  • Use trademarked brand names, logos, or slogans without authorization
  • Depict licensed characters (Disney, Marvel, anime, video game characters, etc.) without license
  • Use celebrity names, likenesses, or catchphrases without consent
  • Copy or substantially imitate another vendor's existing designs
  • Contain hate speech, discriminatory content, or incitement to violence
  • Promote illegal activities or substances
  • Are obscene or pornographic
  • Contain personally identifiable information of others without consent

4.4 Vendor IP Indemnification

Vendors agree to indemnify, defend, and hold harmless dtf.market, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Any intellectual property infringement claim related to designs they uploaded
  • Any breach of the representations and warranties in Section 4.1
  • Any violation of third-party rights resulting from their designs

4.5 Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act (DMCA), we maintain a repeat infringer policy. Vendors who receive multiple valid IP complaints will face escalating consequences:

  • First offense: Infringing listing removed; written warning issued
  • Second offense: Infringing listing removed; 30-day listing suspension (cannot upload new designs)
  • Third offense: Account permanently terminated; all listings removed; pending payouts may be withheld to cover potential claims

We reserve the right to terminate any account at any time for a single egregious violation (e.g., wholesale counterfeiting of branded goods).

4.6 Pricing & Payouts

Vendors set their own customer-facing prices, subject to a platform minimum that covers base production cost and platform fees. Vendor royalties are calculated as: Customer Price - Base Cost - Platform Fee.

Payouts are processed via Stripe Connect. We reserve the right to withhold payouts if a vendor's account is under review for IP violations or other Terms breaches.

5. Customer Terms

5.1 Purchases

All purchases are processed through Stripe. By placing an order, you agree to pay the listed price plus applicable shipping and taxes. All prices are in USD.

5.2 Product Quality

We print all DTF transfers using professional-grade equipment and materials. If you receive a defective product (misprints, color issues, shipping damage), contact us within 14 days for a replacement or refund.

5.3 Refund Policy

Due to the custom-printed nature of our products:

  • Defective/damaged items: Full refund or replacement at our discretion
  • Order not received: Full refund after investigation (allow 30 days for shipping)
  • Change of mind: No refunds on custom-printed items unless defective
  • Wrong size/color ordered: No refund (please review your order before checkout)

5.4 Personal Use License

When you purchase a DTF transfer from dtf.market, you receive a license for personal, non-commercial use only. You may apply the transfer to items for yourself or as gifts. You may not resell items bearing these designs in bulk, use them for commercial branding, or redistribute the design files.

6. Intellectual Property

We take intellectual property rights seriously. Our full IP policy, including DMCA takedown procedures, counter-notice processes, and repeat infringer consequences, is available at our Intellectual Property Policy page.

If you believe your intellectual property has been infringed, please file a takedown request at our DMCA Takedown page or contact our designated DMCA agent at dmca@dtf.market.

7. Platform Rights

7.1 Content Moderation

We reserve the right to review, approve, reject, or remove any listing at our sole discretion. We may use automated tools and manual review to detect potentially infringing content.

7.2 Platform IP

The dtf.market name, logo, website design, and all proprietary technology are our intellectual property. You may not use, copy, or distribute our branding without written permission.

7.3 Service Availability

We strive for continuous availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Platform at any time.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DTF.MARKET AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amounts paid by you to dtf.market in the 12 months preceding the claim, or (b) $100 USD.

As a marketplace platform, we are not liable for the content uploaded by Vendors. We operate under the safe harbor provisions of the DMCA (17 U.S.C. § 512) and respond promptly to valid takedown notices.

9. Indemnification

You agree to indemnify and hold harmless dtf.market, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in the State of New Jersey, United States. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for IP infringement or unauthorized data access.

11. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

12. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
